Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the roam platform, located at bookwithroam.com (“Platform”), operated under the name roam (“roam,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

roam is a technology platform that connects customers seeking mobile, on-location services (“Customers”) with independent service providers (“Providers”). roam is not a service provider and does not perform any services listed on the Platform.

1. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract under Nevada law to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

2. Account Registration

2.1 Customers

Customers may book services without creating a persistent account. By submitting a booking request, you agree to provide accurate and complete information, including your name, email address, phone number, and service address.

2.2 Providers

Providers must complete an application and be approved by roam before listing services on the Platform. By submitting an application, you represent and warrant that:

• All information provided is accurate and complete.
• You hold all licenses, permits, and certifications required by the State of Nevada, Clark County, and the City of Las Vegas to perform the services you offer.
• You will maintain such licenses, permits, and certifications in good standing for the duration of your use of the Platform.
• You have the legal right to work in the United States.

roam reserves the right to approve or deny any Provider application at its sole discretion and to suspend or remove any Provider from the Platform at any time for any reason.

3. The roam Platform

3.1 Marketplace Only

roam is a technology marketplace that facilitates connections between Customers and Providers. roam does not employ, supervise, direct, or control Providers. roam does not perform, guarantee, or endorse any services listed on the Platform.

3.2 Independent Contractor Relationship

Providers are independent contractors, not employees, agents, or representatives of roam. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between roam and any Provider.

3.3 Provider Responsibilities

Providers are solely responsible for:

• The quality, safety, and legality of the services they perform.
• Determining their own service areas, schedules, pricing, and methods.
• Maintaining appropriate insurance coverage for their services.
• Complying with all applicable federal, state, and local laws, including but not limited to Nevada Revised Statutes and Clark County and City of Las Vegas ordinances.
• Reporting and paying all applicable taxes, including self-employment taxes.

4. Bookings and Payments

4.1 Booking Requests

When a Customer submits a booking request and completes payment, the request is sent to the Provider for review. A booking is not confirmed until the Provider accepts the request. roam does not guarantee that any Provider will accept a booking request.

4.2 Payment Processing

All payments are processed through Stripe, Inc. (“Stripe”), a third-party payment processor. By making or receiving payments through the Platform, you agree to Stripe's Terms of Service. roam does not store credit card information.

4.3 Platform Fee

roam charges a platform fee of 15% on each completed transaction. This fee is deducted from the total amount paid by the Customer before the remainder is transferred to the Provider. By using the Platform, both Customers and Providers acknowledge and agree to this fee structure.

4.4 Cancellations and Refunds

• If a Provider declines a booking request, the Customer's payment will be refunded in full.
• For cancellations after a Provider has accepted a booking:
  • Customer-initiated cancellations made more than 24 hours before the scheduled service time will receive a full refund. Cancellations made within 24 hours of the scheduled service time may be subject to a cancellation fee at the Provider's discretion.
  • Provider-initiated cancellations will result in a full refund to the Customer.
• Refund processing times are determined by your payment provider and may take 5–10 business days.

4.5 Disputes Between Customers and Providers

roam may, at its sole discretion, attempt to mediate disputes between Customers and Providers regarding service quality. However, roam is not obligated to do so. Customers and Providers acknowledge that roam is not a party to the service transaction and that any dispute regarding the services performed is between the Customer and the Provider.

5. Conduct and Prohibited Activities

All users of the Platform agree not to:

• Provide false, misleading, or inaccurate information.
• Use the Platform for any unlawful purpose.
• Harass, threaten, abuse, or discriminate against any other user.
• Circumvent the Platform to arrange services or payments outside of roam.
• Attempt to gain unauthorized access to the Platform or its systems.
• Interfere with or disrupt the Platform's operation.
• Scrape, crawl, or use automated means to access the Platform.
• Use the Platform to solicit Providers or Customers for competing services.
• Post or transmit content that is defamatory, obscene, or otherwise objectionable.

roam reserves the right to suspend or terminate any user's access to the Platform for violation of these Terms, at its sole discretion and without prior notice.

6. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, the “roam” name and mark, design elements, and software, is the property of roam or its licensors and is protected by United States copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our express written permission.

7. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

Provider addresses are kept confidential. Only the Provider's city and general neighborhood are displayed to Customers on the Platform. Full service addresses are shared with the Provider only after a booking is confirmed.

8. Disclaimers

8.1 “As Is” Basis

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY NEVADA LAW, ROAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Service Quality

ROAM DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE OFFERED BY PROVIDERS THROUGH THE PLATFORM. ROAM MAKES NO REPRESENTATIONS REGARDING THE QUALITY, SAFETY, RELIABILITY, OR LEGALITY OF ANY SERVICES.

8.3 Availability

ROAM DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY NEVADA REVISED STATUTES, IN NO EVENT SHALL ROAM, ITS OWNER, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY SERVICES OBTAINED THROUGH THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

ROAM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ROAM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless roam, its owner, and its agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any services you provide or receive through the Platform.
• Any dispute between a Customer and a Provider.

11. Dispute Resolution

11.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform (“Dispute”) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (for Customers) or Commercial Arbitration Rules (for Providers), as applicable. The arbitration shall take place in Clark County, Nevada.

11.2 Class Action Waiver

YOU AND ROAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

11.3 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Clark County, Nevada, for claims within the court's jurisdictional limits.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.

12. Modifications to Terms

roam reserves the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Platform with a revised “Last Updated” date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

13. Termination

roam may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections 6 through 11 of these Terms shall survive termination.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and roam regarding the Platform and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

The failure of roam to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without roam's prior written consent. roam may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
